INDEPENDENT CHAIRPERSON – BOARD

The Independent Chairperson of the Board holds the Board and Executive Team to account for the Fund’s Mission and Vision, providing inclusive leadership to the Board of Trustees, ensuring that each Trustee fulfils their duties and responsibilities for the effective governance of the Fund.

The Chairperson will also support, and, where appropriate, hold the Principal Officer/Acting CEO to account and ensure that the Board functions as a unit and works closely with the Management of the Fund to achieve agreed objectives. They will act as an ambassador and the public face of the Fund in partnership with the Principal Officer/Acting CEO.

Strategic Leadership

  • Provide leadership to the Fund and its Board, ensuring that the Fund has maximum impact for its stakeholders, including members and beneficiaries.
  • Ensure that Trustees fulfil their duties and responsibilities for the effective governance of the Fund.
  • Ensure that the Board operates within its stated objectives and provides a clear strategic direction for the Fund.

Governance

  • Ensure that the governance arrangements are working in the most effective way for the Fund.
  • Develop knowledge and capability of the Board of Trustees.
  • Encourage positive change where appropriate.
  • Address and resolve any conflicts within the Board.
  • Appraise the performance of the Trustees and the Board on an annual basis.

External Relations

  • Act as an ambassador for the Fund.
  • Maintain close relationships with key stakeholders.
  • Act as a spokesperson for the Fund when appropriate.
  • Represent the Fund at external functions, meetings, and events.

Efficiency and Effectiveness

  • Chair meetings of the Board of Trustees effectively and efficiently, bringing impartiality and objectivity to the decision-making
  • Ensure that Trustees are fully engaged and that decisions are taken in the best, long-term interests of the Fund and its members and their beneficiaries and that the Board takes collective ownership.
  • Foster, maintain and ensure that constructive relationships exist with and between the Trustees.
  • Work closely with the Principal Officer/Acting CEO to give direction to the Board in policymaking and to ensure that meetings are well planned, meaningful and reflect the responsibilities of Trustees.

Relationship with the Principal Officer/Acting CEO, and the wider Management Team

  • Establish and build a strong, effective and a constructive working relationship with the Principal Officer/Acting CEO, ensuring they are held to account for achieving agreed strategic objectives.
  • Support the Principal Officer/Acting CEO, whilst respecting the boundaries which exist between the roles.
  • Ensure regular contact with the Principal Officer/Acting CEO and develop and maintain an open and supportive relationship within which each can speak openly about concerns, worries and challenges.
  • Liaise with the Principal Officer/Acting CEO to maintain an overview of the Fund affairs, providing support as necessary.
  • Conduct an annual appraisal for the Principal Officer/Acting CEO in consultation with other Trustees.
  • Ensure that the Principal Officer/Acting CEO has the opportunity for professional development and has appropriate external professional support.

In addition to the qualities required of a Trustee of the Fund, the Chairperson must also meet the  following requirements.

  • Demonstrate a strong and visible passion and commitment to the Fund, its strategic objectives and cause.
  • Personal gravitas to lead a significant organisation with a dynamic Board.
  • Exhibit strong inter-personal and relationship building abilities and be comfortable in an ambassadorial role.
  • Demonstrate tact and diplomacy, with the ability to listen and engage effectively.
  • Strong networking capabilities that can be utilised for the benefit of the Fund.
  • Ability to foster and promote a collaborative team environment.
  • Ability to commit time to conduct the role well, including travel and attending events out of office hours.
  • Must be able to demonstrate some level of being a fit and proper individual.
  • Experience of operating at a senior strategic leadership level within an organisation. Successful track record of achievement through their career.
  • Experience of Fund governance and working with or as part of a Board of Trustees.
  • Must have chaired a board of a retirement fund for at least three (3) years and must have served on at least two (2) boards of retirement funds.
  • Must have at least five to ten years retirement funds experience.
  • Sufficient demonstrable experience as a non-executive director of any other recognised entity will be an added advantage.
  • Experience of external representation, delivering presentations and managing stakeholders.
  • Significant experience of chairing meetings and events.
  • Must demonstrate independence from the Fund’s sponsors or service providers, as defined in the Fund’s rules.
  • Broad knowledge and understanding of the retirement funds environment and current issues affecting it.
  • Strong leadership skills, ability to motivate staff and trustees and bring people together.
  • Financial management expertise and a broad understanding of fund finance and risk issues.
  • Good understanding of fund governance issues.
  • The Fund Chairperson serves a three-year term as defined in the Fund’s rules and is eligible for re-appointment.
  • A minimum level of meetings attendance will be required and a notice period of three (3) months will be stipulated.
  • In addition to chairing the main Board meetings, the Chairperson has the right to attend Sub Committee meetings on an observer basis.
